Laboratory Services Terms and Conditions
TERMS AND CONDITIONS CONTROL. These terms and conditions (“Terms and Conditions”) apply to all laboratory services provided by Zac Tech Semi, Inc. (“Laboratory”) to the client (“Client”). Acceptance of any request for services is subject to these Terms and Conditions. Any contrary or additional terms proposed by the Client are not binding unless expressly agreed in writing by the Laboratory.
COMPLETE AGREEMENT. This document represents the full and final agreement between the parties regarding laboratory services.
MODIFICATION. No modification or waiver of these Terms and Conditions shall be effective unless made in writing by an authorized representative of the Laboratory and addressed to the Client.
SERVICES PROVIDED. The Laboratory provides semiconductor testing, analysis, and related laboratory services as described in the service request, quotation, or proposal. Services will be performed in accordance with standard industry practices.
CLIENT OBLIGATIONS. The Client shall:
Provide accurate information and samples necessary for testing.
Comply with any instructions regarding handling, preparation, and shipment of samples.
Ensure all samples comply with applicable safety and regulatory requirements.
FEES AND PAYMENT. Fees for laboratory services are as specified in the invoice or service quotation. Payment is due according to the terms stated in the invoice. Late payments may be subject to interest at 1% per month until paid in full.
CONFIDENTIALITY. The Laboratory will treat all Client information and test results as confidential and will not disclose such information to third parties except as required by law or with the Client’s consent.
DISCLAIMER OF WARRANTIES. Services are provided “as is” and “with all faults.” The Laboratory makes no express or implied warranties, including warranties of merchantability or fitness for a particular purpose, other than as expressly stated in the service agreement.
LIMITATION OF LIABILITY. The Laboratory’s liability is limited to the fees paid for the specific service giving rise to the claim. In no event shall the Laboratory be liable for indirect, incidental, or consequential damages, including loss of profits or damage to samples.
INDEMNIFICATION. The Client agrees to indemnify and hold harmless the Laboratory, its employees, and representatives from any claims, damages, or liabilities arising from the Client’s samples, handling, or misuse of laboratory results.
SAFETY AND COMPLIANCE. The Client acknowledges that certain samples may pose safety risks. The Client is responsible for ensuring proper handling and transport of samples and compliance with applicable safety regulations.
FORCE MAJEURE. The Laboratory shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, strikes, or equipment failure.
GOVERNING LAW. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved exclusively in the courts of Santa Clara County, California.
SEVERABILITY. If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall remain in full force and effect.
